Terms of Service

By creating an account, browsing as a guest, submitting prices as a crowdsourcer, or operating a business or agent account on Priceforte (the “Service”), you agree to be bound by these Terms. If you don’t agree, don’t use the Service.

Silverlight Technologies Limited operates the Priceforte platform. Priceforte is a product and trading name of Silverlight Technologies Limited, not a separately registered company. We’re a remote-first company and do not currently maintain a public office address; reach us using the contact details in Section 22.

You must be at least 18 years old, or the age of majority where you live, to create an account, place an order, submit a bid, or operate a business or agent account. By using the Service, you represent that you meet this requirement and have the legal capacity to enter into a binding contract. Priceforte is not directed at children, and we do not knowingly permit anyone under 18 to hold an account.

You register with an email address and/or phone number and a password. Verification of that email or phone happens separately and isn’t required before you can browse or build a shopping list, but is required for certain actions.

• One account per person.Impersonating another person, or creating an account on someone else’s behalf without authorization, is prohibited.
• You’re responsible for keeping your password confidential and for all activity under your account. Tell us immediately (Section 22) if you suspect unauthorized access.
• You can view and revoke your active sessions/devices from your account settings; revoking a session logs that device out immediately.
• Priceforte uses a single role-based permission system: whether you can bid, submit crowdsourced prices, or manage a business listing depends on roles and permissions attached to your account, not on any separate account “type.” One account can hold more than one role - e.g. a buyer who is also an approved crowdsourcer.

Priceforte is a price-comparison and marketplace platform for Nigerian markets. Buyers build shopping lists and choose how to fulfill them:

• AI-assisted price discovery - we surface listed and crowdsourced average prices and can help you scope a list down to what our catalog actually carries;
• Open bidding - registered businesses and their sales agents bid on your order.

A live, crowdsourced price ticker shows average prices per product variant, per market, built from prices submitted through our crowdsourcer program and from active seller listings. We may add, change, or remove features, and may limit certain features to certain markets, at any time.

• Shopping lists are tied to your account (or, before you sign in, to a temporary guest identifier stored in a cookie on your device) and are not themselves an order.
• Orders: submitting a shopping list for fulfillment moves it into a state where registered businesses can see - without seeing who you are, Section 8 - and bid on it.
• Pricing shown before you order - whether a crowdsourced market average or a business’s listed price - is informational, not a guaranteed price, quote, or offer you can accept directly. The price is fixed only once a bid is placed and you accept it.
• You can cancel an order while it’s in draft or matching status. Once a bid has been accepted, cancellation is no longer available through the Service, and you’ll need to resolve the matter directly with the business (Section 7). You can edit item quantities or remove items only while the order is still in draft.
• We don’t guarantee that a bid will be placed on your order, that any bid will meet your price expectations, or that a business’s listed inventory or price is current at the time you order.

This is the most important section to read before you buy or sell through bidding.

• Priceforte is a matching and communication platform. When you accept a bid, you and the business you accepted are entering directly into your own transaction for the sale of goods. Priceforte is not a party to that transaction, does not itself buy or sell the goods, and does not process, hold, or collect payment for it.
• Payment for goods happens directly between you and the business, outside the Service, by whatever means you both agree to. We record a platform-fee figure against every accepted order for our own accounting; as of this version of the Service that fee is set at zero and, whether zero or not, it is not collected by Priceforte from either party. We may introduce actual fee collection in the future, with notice.
• Delivery, quality, quantity, and condition of goods are entirely between you and the business. Priceforte does not inspect, warehouse, ship, or deliver goods, and does not guarantee that a business will fulfil an accepted bid.
• Disputes about a transaction - non-delivery, wrong item, damaged goods, a disagreement about price or payment - are between you and the business. We may, at our discretion, review account activity or suspend an account for a substantiated pattern of abuse, but we are not an escrow agent, an arbitrator, or a guarantor of any transaction, and we do not refund, charge back, or otherwise reverse a payment you made directly to a business.
• Because of this, only transact with a business through the Service in a way you’d be comfortable with if you were dealing with a stranger you met in a market - because that, on our current fulfillment model, is functionally what’s happening.

• To bid, list inventory, or otherwise act for a business, you must either own that business’s profile on Priceforte or be an active, accepted sales agent for it. A pending or revoked agent invitation does not authorize you to act for the business.
• A business is responsible for the accuracy of its own profile, operating hours, contact details, and every listed price. A price you list is a real, current offer to sell at that price to a buyer who accepts it - list prices you’re actually willing and able to honor.
• Placing a bid is a real, binding offer that becomes a binding sale commitment for that business if a buyer accepts it. A bid consumes a credit at the time it’s placed (Section 10) whether or not it’s ultimately accepted; there is currently no way to withdraw a submitted bid through the Service.
• We don’t vet a business’s inventory, licensing, tax status, or right to sell any given product, and we don’t guarantee any minimum volume of orders, bids, or buyers to any business.
• A business operates in exactly one market on Priceforte; a bid placed for an order outside that market will be rejected by the Service.

• Anyone approved as a crowdsourcer may submit prices they observe in an approved market, subject to whatever collection links are open to them.
• Submissions are scored automatically against other submissions in the same market and time window, and may additionally be reviewed, flagged, or voided by our team; a flagged or voided submission does not count toward the live average.
• Some collection links require sharing your device’s precise location at the moment you submit, to confirm you were physically present in the market; you’ll be asked for that permission separately and can decline, which may mean you can’t complete that particular submission.
• Submitting a price you did not personally observe, or otherwise falsifying a submission, violates these Terms (Section 12) and is grounds for losing crowdsourcer status.
• Participation in the crowdsourcing program is not compensated. We do not currently pay crowdsourcers for submissions, and nothing in these Terms creates an employment, agency, or contractor relationship between you and Priceforte.

• Certain features - currently our AI shopping assistant, AI-assisted price planning, and placing a bid as a business - are metered using a credit system, separate from any payment you make directly to a business under Section 7.
• Credits are purchased through Paystack in NGN, or granted by us - for example, a one-time welcome grant when your wallet is first created, which may expire after a stated period. Card and bank details are handled entirely by Paystack; we never receive or store them (see our Privacy Policy).
• Credits have no cash value, cannot be redeemed for cash, are non-transferable between accounts, and are non-refundable once spent, except where we’ve stated a specific automatic refund (for example, if our AI assistant fails to produce a usable response) or where required by applicable law.
• A credit is consumed at the point the metered action is taken - for a bid, at the moment it’s placed, regardless of whether the bid is later accepted or rejected.
• Every credit-affecting transaction is recorded in an append-only ledger; your balance is always the sum of that ledger, and you can view your transaction history in your account.

Priceforte’s AI features - the “Ask Priceforte” shopping assistant and AI-assisted price recommendations - are provided for convenience and are advisory only.

• The assistant is restricted to recommending products it has actually found through our own catalog search; it should never invent a product, price, or store. If you notice it doing so, please report it (Section 22).
• AI output can still be wrong, incomplete, or out of date, particularly around price and availability - always confirm with the business before relying on it.
• The assistant does not place orders, submit bids, or take any binding action on your behalf; you always decide whether to add a suggested item to your list.
• Don’t share sensitive personal information (health, religious, political, or similarly sensitive details) in the assistant chat or any other free-text field - it’s processed by a third-party AI provider (see our Privacy Policy).

You agree not to:

• Falsify crowdsourced price submissions or your presence in a market;
• Create multiple accounts to evade a suspension, gain extra credits, or manipulate scoring or bidding;
• List a business, product, or price you don’t genuinely intend to honor;
• Place bids you don’t intend to fulfil, or bid to manipulate other sellers’ visibility into an order;
• Impersonate a business you don’t own or aren’t an accepted agent for;
• Attempt to bypass, probe, or disable security or rate-limiting controls;
• Scrape, harvest, or bulk-extract data from the Service other than through a documented API we’ve made available;
• Use the Service to transmit malware, spam, or unlawful content;
• Reverse engineer the Service, except to the extent applicable law prohibits this restriction;
• Use the AI assistant to try to extract our system prompts or provider credentials, or to generate content unrelated to shopping on Priceforte;
• Use the Service in violation of applicable law, including Nigerian consumer protection, data protection, or competition law.

• The Priceforte name, logo, and the Service’s software, design, and text (other than user-submitted and crowdsourced content) belong to Silverlight Technologies Limited or our licensors. Nothing in these Terms grants you rights to our trademarks or brand.
• You keep ownership of content you submit - business profiles, listings, crowdsourced price submissions, messages to the AI assistant. By submitting it, you grant us a worldwide, royalty-free license to host, display, reproduce, and use that content to operate and improve the Service - including computing averages from crowdsourced prices, displaying your business listing to buyers, and using submitted content to develop and improve our AI features.
• You’re responsible for making sure content you submit doesn’t infringe anyone else’s rights and is accurate to the best of your knowledge.

• We may suspend or terminate your account, or remove content, if we reasonably believe you’ve violated these Terms, posed a risk to other users, or if required by law - normally with notice, but immediately where we believe the risk warrants it.
• You can stop using the Service at any time; contact us (Section 22) to request account deletion, subject to what our Privacy Policy says about data we’re required to retain (e.g. financial and audit records).
• Sections that by their nature should survive termination - including Sections 7, 10, 11, 12, 13, and 15 through 19 - do survive.

The Service, including all prices, listings, and AI-generated content, is provided “as is” and “as available,” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that prices shown are current or accurate, that a business will honor a listing or bid, that the Service will be uninterrupted or error-free, or that AI-generated suggestions will be accurate or suitable for your purpose.

To the maximum extent permitted by law, Silverlight Technologies Limited will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, goodwill, or the value of any transaction between you and a business, arising from your use of the Service. Our total liability to you for any claim arising from these Terms or the Service will not exceed the amount you paid us directly - i.e., for credits - in the 12 months before the claim arose. Nothing in these Terms limits liability that cannot lawfully be limited, such as liability for fraud or for death or personal injury caused by our negligence.

You agree to indemnify and hold Silverlight Technologies Limited harmless from any claim, loss, or expense (including reasonable legal fees) arising from: your breach of these Terms; your transaction with, or dispute against, a business or buyer; content you submit; or your violation of any law or third-party right.

The Service integrates third-party providers, including Paystack (payments) and Google Gemini (AI). Your use of features backed by these providers is also subject to their own terms - we’re not responsible for their acts, omissions, or availability.

These Terms are governed by the laws of the Federal Republic of Nigeria, without regard to conflict-of-law principles. Please contact us first (Section 22) if you have a dispute - we’d rather resolve it directly. Any dispute that can’t be resolved informally is subject to the exclusive jurisdiction of the courts of Nigeria.

We may update these Terms from time to time. We’ll revise the “Last updated” date above, and for material changes, we’ll take reasonable steps to notify you before they take effect. Continuing to use the Service after a change takes effect means you accept the updated Terms.

• If any provision of these Terms is found unenforceable, the rest remain in effect.
• These Terms, together with our Privacy Policy, are the entire agreement between you and us about the Service, and supersede any prior agreements on the same subject.
• Our failure to enforce a provision isn’t a waiver of our right to do so later.
• You may not assign your rights under these Terms without our consent; we may assign ours in connection with a merger, acquisition, or sale of assets, consistent with our Privacy Policy.
